ConstaCloud IP Enforcement Notice — Commercium Infringement Action

This is the official notice regarding ConstaCloud Pvt. Ltd. ("ConstaCloud") and its Commercium ecommerce integration platform. APIWORX, LLC ("APIWORX"), an ecommerce integration platform provider headquartered in Austin, Texas, owns all intellectual property rights in the proprietary ecommerce integration technology — including data models, workflow logic, API integration architecture, and related systems — that ConstaCloud has misappropriated and is commercializing as Commercium.
Formal Legal Action Against ConstaCloud and Commercium
APIWORX has engaged counsel and taken formal legal action against ConstaCloud Pvt. Ltd. and its CEO Shubham Vajpayee in connection with the unauthorized development, distribution, and commercialization of Commercium — a competing ecommerce integration platform built on APIWORX's proprietary technology.
ConstaCloud served as APIWORX's software development vendor for approximately seven years under a Master Services Agreement ("MSA"). Under the MSA, all work product and intellectual property created by ConstaCloud for APIWORX became the sole and exclusive property of APIWORX upon creation. ConstaCloud retained no ownership rights, license rights, or commercialization rights in any technology developed under the agreement.
APIWORX terminated the MSA for cause effective March 30, 2026. Following termination, ConstaCloud has continued to operate, market, and sell Commercium — including through the Shopify App Store (listed as "Constacloud All in 1 Connector") and the BigCommerce App Marketplace (listed as "Commercium By ConstaCloud") — without authorization and in direct breach of the MSA's IP assignment, confidentiality, and non-compete provisions.
A formal cease and desist letter was served by APIWORX's counsel, Vela Wood PC, in April 2026. No response was received. APIWORX has since taken further formal enforcement measures and reserves all available legal remedies, including injunctive relief and claims for damages.
Notice to Third Parties
This notice is intended for platforms, marketplaces, payment processors, cloud service providers, and any other third parties currently hosting, distributing, or facilitating the commercialization of Commercium.
Any platform or service provider that continues to host, list, distribute, or process transactions for Commercium after receiving actual notice of APIWORX's IP ownership claims may face liability for contributory infringement. APIWORX has submitted or is in the process of submitting formal takedown and removal requests to all relevant platforms.
Third parties who have received licensing proposals or partnership approaches from ConstaCloud or Shubham Vajpayee in connection with Commercium should be aware that ConstaCloud does not hold valid ownership or licensing rights to the underlying technology. APIWORX is the rightful IP owner.
Intellectual Property at Issue
The following APIWORX IP is at issue in this enforcement action:
- Proprietary ecommerce integration platform technology
- API integration architecture and workflow logic developed under the MSA
- Proprietary data models and connector frameworks
- Confidential business processes, customer data, and technical documentation
- All related work product created by ConstaCloud for APIWORX from 2019 through 2026
